Terms of Service

These terms govern your use of the Celsus platform.

Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Celsus Company Limited (“Celsus”, “we”, “us”, or “our”), governing your access to and use of the Celsus platform available at celsusos.com and app.celsusos.com (the “Service”).

By creating an account, accessing the Service, or clicking “I agree” where presented, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Eligibility

You must be at least 18 years of age to use the Service. By using Celsus, you represent and warrant that you meet this requirement.

The Service is intended for business use. You agree that your use of the platform is in connection with legitimate property management, real estate operations, or related business activities.

Access to the Service is not available to persons or entities that are prohibited from receiving it under applicable law in your jurisdiction.

Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@celsusos.com if you suspect any unauthorised access to your account.

You may not share your account credentials with others or allow multiple individuals to use a single account, except where team members are added through the platform's role management features.

We reserve the right to suspend or terminate accounts that violate these Terms, are associated with fraudulent activity, or that have been inactive for an extended period on a free plan.

Acceptable Use

You agree not to use the Service to:

  • Upload, store, or transmit content that is unlawful, fraudulent, defamatory, or infringes any third party's rights.
  • Circumvent or attempt to circumvent any security, access control, or authentication mechanism.
  • Reverse engineer, decompile, or extract source code from any part of the platform.
  • Use automated means (bots, scrapers, crawlers) to access the Service without prior written consent.
  • Conduct load testing, penetration testing, or security assessments of the platform without prior written authorisation.
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
  • Use the Service to store data in a way that violates applicable privacy or data protection laws in your jurisdiction.
  • Resell, sublicense, or provide the Service to third parties as a standalone product without a written reseller agreement.

We reserve the right to investigate and take action against any violation of these terms, including suspension or termination of access without notice.

Subscription & Billing

Plans and pricing

Celsus offers free and paid subscription plans as described on our pricing page. Paid plans are billed monthly or annually in advance. Pricing is subject to change with 30 days' notice to existing subscribers.

Payment

By subscribing to a paid plan, you authorise Celsus to charge your payment method on a recurring basis. All fees are exclusive of applicable taxes, which are your responsibility to determine and pay in your jurisdiction.

Refunds

Subscription fees are non-refundable except where required by applicable consumer protection law in your jurisdiction, or at our sole discretion. If you downgrade mid-cycle, the change takes effect at the end of the current billing period.

Failed payments

If a payment fails, we will attempt to retry it and notify you by email. Access to paid features may be suspended if payment remains outstanding after a reasonable cure period.

Free plan

The free plan is provided as-is without warranty, and we reserve the right to modify its limits or discontinue it with reasonable notice.

Data Ownership

You retain full ownership of all data you upload, create, or generate through the Service, including property data, tenant records, financial records, and documents (“Your Data”).

By using the Service, you grant Celsus a limited, non-exclusive licence to store, process, and display Your Data solely to provide the Service to you. We do not acquire any ownership rights in Your Data.

Upon account termination, you may export Your Data using the platform's export tools. After the 90-day post-termination retention period, Your Data will be permanently deleted from our systems.

We may use aggregated, anonymised, and de-identified data derived from usage of the Service to improve the platform. This data cannot be used to identify you or your organisation.

Intellectual Property

The Celsus platform, including its software, design, branding, trademarks, documentation, and all associated intellectual property, is and remains the exclusive property of Celsus Company Limited and its licensors.

These Terms do not grant you any right to use Celsus trademarks, logos, or brand elements without our prior written consent.

You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without express written authorisation.

Availability & SLA

We aim to maintain high availability of the Service and will use commercially reasonable efforts to minimise scheduled and unscheduled downtime. However, we do not guarantee uninterrupted access.

We may perform scheduled maintenance from time to time, which we will communicate in advance where possible. We are not liable for any losses arising from planned or unplanned service interruptions.

Enterprise plan customers may be subject to a separate Service Level Agreement (“SLA”) specifying uptime commitments and remedies. In the absence of such an agreement, this section governs.

Liability

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall Celsus be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Celsus in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Termination

You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period for paid plans.

We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide reasonable notice where circumstances allow.

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including data ownership, intellectual property, liability, and governing law) will continue in force.

Governing Law

These Terms are governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Ghana.

If you are using the Service from a jurisdiction with mandatory consumer protection laws that provide greater rights than those described here, those rights are not excluded by these Terms.

Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by email and update the “Last updated” date at the top of this page at least 14 days before the changes take effect.

Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service before the effective date.
